NAYA Skincare – Wholesale Terms & Conditions of Supply

1. Scope

These Terms & Conditions apply to all wholesale orders placed with NAYA Skincare OÜ by business customers.

 

2. Order Acceptance

All orders are subject to acceptance and availability. NAYA Skincare reserves the right to refuse or cancel orders at its discretion.

 

3. Pricing

All prices are quoted in EUR and exclude VAT unless otherwise stated. Applicable VAT will be charged in accordance with EU regulations.

 

4. Payment Terms

  • All wholesale orders are supplied on a prepayment basis, unless otherwise agreed in writing.

  • Invoices are payable within 14 days of the invoice date.

  • NAYA Skincare reserves the right to require advance payment for all future orders if previous invoices are overdue.

5. Late Payment

If payment is not received within the agreed terms:

  • The customer is considered in default (Verzug)

  • NAYA Skincare reserves the right to charge:

    • statutory default interest (9% above base rate for B2B)

    • a €40 late payment fee

     

  • All outstanding amounts become immediately due

  • NAYA Skincare may suspend or cancel further deliveries

 

6. Retention of Title

All goods remain the property of NAYA Skincare until full payment has been received.

 

7. Delivery

Delivery times are indicative and not guaranteed. Risk transfers to the customer upon dispatch.

 

8. Returns & Claims

Any claims regarding damaged or incorrect goods must be made within 5 days of receipt.

 

9. Limitation of Liability

NAYA Skincare shall not be liable for indirect or consequential losses.

 

10. Jurisdiction

These Terms & Conditions shall be governed by the laws of Germany, and the place of jurisdiction shall be the registered office of the customer, unless otherwise required by law.
